1. Acceptance of Terms
By accessing or using Neptrix ("the Service"), operated by QuantumPivot Limited ("we", "us", or "the Company"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those modifications.
These Terms apply to all users of the Service, including free-tier users, paid subscribers, API consumers, and any individual or system that interacts with Neptrix endpoints.
2. Description of Service
Neptrix is a Constitutional AI Governance Platform. The Service evaluates AI agent tool calls against configurable constitutional rules before those tool calls are executed. Based on the evaluation, Neptrix issues governance decisions including but not limited to: allowing the action, blocking the action, escalating the action to a human principal for review, or modifying the action.
Core capabilities of the Service include:
- Real-time evaluation of AI agent tool calls against constitutional rule sets
- Blocking of dangerous or policy-violating commands before execution
- Escalation of risky operations to designated human principals for approval or rejection
- Maintenance of tamper-proof, hash-chained audit trails for all governance decisions
- Automated threat detection across categories including credential access, data exfiltration, shell injection, and governance tampering
- Integration with AI development environments including Claude Code, Cursor, Windsurf, OpenClaw, and any agent capable of making REST API calls
The Service is provided as a cloud-hosted platform accessible via API. Neptrix does not execute tool calls on your behalf; it evaluates proposed actions and returns governance decisions. The actual execution of tool calls remains the responsibility of the AI agent and its runtime environment.
3. AI Governance Disclaimer
Important: Please read this section carefully before using Neptrix.
Neptrix is a software tool that assists with AI agent governance. It is designed to evaluate AI agent tool calls against configurable rules and provide governance decisions. However, Neptrix does NOT guarantee safety, correctness, completeness, or reliability of its governance decisions under any circumstances.
Neptrix may fail to detect, block, or flag harmful, dangerous, or policy-violating actions taken by AI agents. Conversely, Neptrix may incorrectly block, flag, or restrict actions that are safe, legitimate, and desirable. No governance system, including Neptrix, is capable of anticipating or preventing all possible harmful outcomes from AI agent activity.
You, the customer, are solely and exclusively responsible for your AI agents and all actions those agents take, whether or not those actions are evaluated, approved, blocked, modified, or escalated by Neptrix. The use of Neptrix does not transfer, reduce, shift, or otherwise alter your liability or responsibility for AI agent behaviour in any way. QuantumPivot Limited accepts no responsibility whatsoever for the actions, omissions, outputs, decisions, or consequences of any AI agent that interacts with the Service.
Neptrix is provided strictly on an "AS-IS" and "AS-AVAILABLE" basis, with absolutely no warranty of any kind, whether express, implied, statutory, or otherwise, including but not limited to any warranties of merchantability, fitness for a particular purpose, accuracy, reliability, completeness, non-infringement, or uninterrupted operation.
You must maintain your own independent safety measures, security controls, monitoring systems, and oversight processes for all AI agents and automated systems you operate, regardless of whether those systems are governed by Neptrix. Neptrix is intended to supplement, not replace, your own AI safety and governance practices. You must not rely solely on Neptrix to ensure the safe operation of your AI agents.
By using Neptrix, you expressly acknowledge and agree that QuantumPivot Limited bears no responsibility for any damage, loss, liability, cost, expense, or harm of any kind arising from or related to AI agent actions, governance decisions issued by Neptrix (whether correct or incorrect), actions that Neptrix blocked or failed to block, or any reliance you place on Neptrix's governance capabilities.
4. Account Registration
To use the Service, you must create an account by providing accurate, current, and complete registration information. You are responsible for maintaining the accuracy of this information and for all activity that occurs under your account.
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account. Accounts registered by automated methods (bots) are not permitted unless explicitly authorized by QuantumPivot Limited in writing.
You are responsible for safeguarding the credentials used to access your account. You must notify us immediately at hello@neptrixai.com if you become aware of any unauthorized use of your account or any other breach of security. We will not be liable for any loss arising from unauthorized use of your account where you have failed to maintain the security of your credentials.
5. API Keys and Security
The Service provides API keys to authenticate requests from your AI agents to Neptrix. You are solely responsible for the security and confidentiality of your API keys. API keys should be treated as sensitive credentials equivalent to passwords.
You must not share API keys in public repositories, client-side code, unencrypted configuration files, or any other location where they may be exposed to unauthorized parties. You must not embed API keys in AI agent prompts or pass them through channels that may be logged by third-party systems outside your control.
If you believe an API key has been compromised, you must revoke it immediately through your dashboard and generate a new key. Neptrix is not responsible for governance decisions made using compromised API keys, nor for any damages arising from unauthorized use of your keys.
We reserve the right to revoke or rotate API keys if we detect anomalous usage patterns, suspected compromise, or violations of these Terms.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:
- Use Neptrix to circumvent, bypass, or undermine its own governance decisions, including but not limited to crafting inputs designed to avoid rule detection, replaying modified governance tokens, or instructing AI agents to ignore Neptrix decisions
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, rule logic, threat detection algorithms, or internal decision-making processes of the Service
- Attempt to manipulate, forge, or tamper with audit trail records, hash chains, governance tokens, or any other integrity mechanism of the Service
- Use the Service to facilitate, enable, or conceal illegal activities, including unauthorized access to computer systems, data theft, or distribution of malicious software
- Probe, scan, or test the vulnerability of the Service or any related system or network, or breach any security or authentication measures
- Interfere with or disrupt the integrity or performance of the Service, including through denial-of-service attacks, excessive API calls beyond your plan limits, or any other means
- Resell, sublicense, or provide access to the Service to third parties without our prior written consent, except through legitimate use of the API as part of your own products or services
- Use the Service in a manner that could create a false impression that Neptrix has endorsed, certified, or guaranteed the safety of any AI system or output
Violation of these acceptable use provisions may result in immediate suspension or termination of your account, at our sole discretion, with or without notice.
7. Data Ownership
Your Data. You retain full ownership of all data you submit to the Service, including constitutional rules you configure, tool call payloads evaluated by Neptrix, escalation responses, and the audit trail records generated from your usage ("Customer Data"). We do not claim any ownership rights over Customer Data.
Data Export. You may export your audit trail data at any time through the dashboard or API while your account is active. Upon account termination, we will make Customer Data available for export for a period of thirty (30) days, after which it may be permanently deleted.
Aggregate Intelligence. We may collect and use pseudonymised, aggregated data derived from Service usage to improve the Service, including but not limited to: aggregate threat detection patterns, rule effectiveness metrics, and general usage statistics ("Aggregate Data"). Aggregate Data will not identify you, your organization, or any specific tool call content. We may use Aggregate Data for any lawful purpose, including improving threat detection, benchmarking, and publishing research.
Processing. By using the Service, you grant us a limited, non-exclusive license to process Customer Data solely for the purpose of providing and operating the Service, including evaluating tool calls, generating governance decisions, and maintaining audit trails.
8. Billing and Payments
Neptrix offers multiple subscription tiers including a free tier and paid tiers. Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. All payments are processed through Stripe, our third-party payment processor, and are subject to Stripe's terms of service and privacy policy.
Auto-Renewal. Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. The renewal will be at the then-current price for your plan. We will make reasonable efforts to notify you of any price changes before they take effect.
Cancellation. You may cancel your paid subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. No prorated refunds are issued for partial billing periods.
Failed Payments. If a payment fails, we may retry the charge and/or suspend your access to paid features until the outstanding balance is resolved. Accounts with overdue payments for more than thirty (30) days may be downgraded to the free tier.
Taxes. All prices are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in your jurisdiction, and we will charge tax where legally required to do so.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided on a "best effort" basis with respect to uptime and availability. We may perform scheduled maintenance, deploy updates, or experience unplanned outages that temporarily affect Service availability.
Free Tier. The free tier is provided without any service level commitment or uptime guarantee. We reserve the right to impose rate limits, throttle requests, or restrict access to the free tier at any time to ensure fair usage and system stability.
Paid Tiers. Paid plans include higher rate limits and priority request processing. Service level agreements (SLAs) with defined uptime commitments are available only to Enterprise tier customers under a separate written agreement.
Fail-Closed Behaviour. Neptrix is designed to fail closed. If the Service is unreachable or experiences an internal error, the expected behaviour is that AI agent actions governed by Neptrix will be blocked rather than allowed. You acknowledge and accept this fail-closed design as an intentional safety property of the Service.
10. Limitation of Liability
Complete Limitation of Liability
To the absolute maximum extent permitted by applicable law, under no circumstances whatsoever shall QuantumPivot Limited, its directors, officers, employees, shareholders, affiliates, agents, contractors, subcontractors, suppliers, successors, or assigns (collectively, the "QuantumPivot Parties") be liable to you or to any third party for any damages of any kind or nature whatsoever. This exclusion of liability applies to, without limitation:
- Direct damages, indirect damages, incidental damages, consequential damages, special damages, punitive damages, and exemplary damages
- Loss of profits, loss of revenue, loss of data, loss of business, loss of goodwill, loss of anticipated savings, loss of business opportunity, or loss of any other tangible or intangible asset
- Damages arising from or related to any actions taken or not taken by any AI agent, whether or not such actions were evaluated, approved, blocked, modified, escalated, or otherwise processed by Neptrix
- Damages arising from any governance decision issued by Neptrix, whether such decision was correct, incorrect, incomplete, delayed, or failed to be issued
- Damages arising from Neptrix's failure to detect, block, flag, or prevent any harmful, dangerous, malicious, or policy-violating action by any AI agent
- Damages arising from Neptrix incorrectly blocking, restricting, or flagging actions that were safe, legitimate, or desirable
- Any data loss, data corruption, data breach, security incident, unauthorized access, or system compromise arising from or related to AI agent activity, whether or not such activity was governed by Neptrix
- Any reliance placed by you on Neptrix's governance decisions, threat detection capabilities, constitutional rule evaluation, audit trail integrity, or any other feature or function of the Service
- Damages arising from Service interruptions, downtime, latency, errors, bugs, or any failure of the Service to operate as expected
- Damages arising from the actions of any third party, including AI model providers, cloud infrastructure providers, or any other party in the AI agent execution chain
This exclusion applies regardless of the legal theory under which liability is asserted, including but not limited to breach of contract, tort (including negligence and strict liability), breach of warranty, misrepresentation, product liability, or any other legal or equitable theory, and regardless of whether the QuantumPivot Parties have been advised of, knew of, or should have known of the possibility of such damages.
Liability Cap. Notwithstanding the foregoing, if any court of competent jurisdiction determines that the above exclusion of liability is unenforceable for any reason, the total aggregate liability of all QuantumPivot Parties arising from or related to these Terms, the Service, or your use thereof shall not exceed the lesser of (a) the total fees actually paid by you to QuantumPivot Limited in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty United States dollars (USD $50.00). This cap applies to all claims in the aggregate, not per incident.
Assumption of Risk. You expressly acknowledge, understand, and agree that your use of the Service is entirely at your own risk. You assume all risk and responsibility for any and all damages, losses, costs, expenses, liabilities, and consequences of any kind that may arise from or relate to your use of the Service, the operation of your AI agents, the governance decisions issued by Neptrix, and any actions taken or not taken in reliance on those decisions. Neptrix is a governance evaluation tool, not a safety guarantee. No governance system is infallible, and you must not treat Neptrix as a substitute for your own comprehensive AI safety measures, human oversight, and risk management practices.
No Warranty. The Service is provided "AS-IS" and "AS-AVAILABLE" without warranty of any kind. The QuantumPivot Parties expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, reliability, completeness, title, non-infringement, quiet enjoyment, and any warranties arising from course of dealing, usage of trade, or course of performance. QuantumPivot Limited does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any governance decision will be correct, complete, or timely.
The limitations, exclusions, and disclaimers in this section apply to the fullest extent permitted by law in the applicable jurisdiction, shall survive termination or expiration of these Terms, and shall apply regardless of whether the remedies provided herein fail of their essential purpose.
11. Termination
By You. You may terminate your account at any time by contacting us at hello@neptrixai.com or through your account settings. Upon termination, your right to use the Service ceases immediately, except that you may continue to access paid features through the end of any pre-paid billing period.
By Us. We may suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, suspected fraudulent or illegal activity, non-payment, extended inactivity, or conduct that we reasonably believe poses a risk to the Service or other users.
Effect of Termination. Upon termination, all API keys associated with your account will be revoked immediately. Your AI agents will no longer be able to authenticate with Neptrix, and governed actions will be blocked in accordance with the fail-closed design. Your audit trail data will remain available for export for thirty (30) days following termination, after which it may be permanently deleted.
Sections that by their nature should survive termination of these Terms shall survive, including but not limited to: AI Governance Disclaimer, Data Ownership, Limitation of Liability, and Governing Law.
12. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and make reasonable efforts to notify you, which may include sending a notice to the email address associated with your account or displaying a prominent notice within the Service.
Material changes will take effect no sooner than thirty (30) days after notice is provided, unless the changes are required to address a security concern, legal obligation, or regulatory requirement, in which case they may take effect immediately.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which QuantumPivot Limited operates, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of competent jurisdiction within the jurisdiction in which QuantumPivot Limited operates. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
